About the Role

In this role, as part of a forward-thinking digital asset firm serving over 700 clients, you'll part of our legal team navigating the complex tapestry of global regulations critical to our operations. As a seasoned attorney with at least nine years of practice, you will bring your substantial legal expertise, preferably with at least four years honing your skills in a global context, to advise on a range of corporate matters from intellectual property to governance, with a strong emphasis on regulatory compliance across the U.S., U.K., E.U., and occasionally APAC and LATAM regions. Your role is vital to our business functions to ensure compliance and comprehension of our global legal duties. You will keep us ahead in this dynamic, evolving industry. You will report directly to our General Counsel and get exposure to our executive team.

Responsibilities

  • Oversee the implementation of internal policies and procedures, ensuring the company's adherence to global regulatory standards and frameworks. Conduct risk assessments and develop strategies to mitigate those risks. Collaborate with our internal GTM revenue team, international legal team, and global compliance function.
  • Monitor and interpret legislative and regulatory changes in every jurisdiction where FalconX operates, ensuring company policies comply with the latest rules. Coordinate with different departments to meet regulatory requirements, prepare necessary filings and documentation, and provide guidance on regulations for new product or service introductions.
  • Analyze and address inquiries from regulatory agencies and advise on how changes in regulations affect company operations. Develop comprehensive plans for regulatory exams and inspections. Manage communications with regulators, including timely filings and responses.
  • Provide legal guidance to the executive team on the risk and benefits of corporate strategies. Ensure meticulous maintenance of board meeting records and decisions. Manage the review and updates of the company's foundational documents like articles of incorporation and bylaws.
  • Provide expert advice on the legal implications of company strategies and potential business impacts, including strategic partnerships, mergers, and acquisitions. Draft and negotiate complex contracts and steer legal aspects of strategic projects to protect company interests.

Requirements

  • Juris Doctor (JD) or equivalent law degree
  • Admission to a State Bar or equivalent legal qualification
  • 9+ years practicing law
  • 4+ years in a global regulatory environment
  • 5+ years of experience working with or in direct exposure of Financial Services institutions or FinTech companies
  • Experience with regulatory compliance in U.S., U.K., and E.U. jurisdictions

Necessary Experience

  • Proven ability to interpret and apply multi-jurisdictional regulatory laws
  • Aptitude for drafting and negotiating complex contracts
  • Expertise in legal risk assessment and mitigation strategy development
  • Experience with legal aspects of mergers and acquisitions
  • Knowledge of international global markets and associated compliance requirements
  • Knowledge with the legal frameworks specific to digital assets and financial services
  • Proven experience in managing international legal teams or counsels
  • Record of accomplishment in reducing potential risks through strategic legal planning
  • Track record of building deep relationships with Board of Directors, Shareholders, and internal Executives to ensure a strong partnership across stakeholders

Nice-to-haves

  • Experience at an existing cryptocurrency, digital asset, blockchain, or web3 organization
  • Exposure to Intellectual Property Law, Privacy Law, Employment Law, Governance, or other Corporate Legal Functions
  • People management or department leadership

Compensation:

This is a full-time position with an expected annual compensation of $210,000.00 - $310,000. The actual compensation for a successful candidate may vary based on factors such as skill set, relevant experience, qualifications, and other relevant factors. This position also offers other forms of compensation and benefits consisting of overtime compensation (when applicable), relocation assistance (if applicable), performance-linked bonus, paid time off (including sick time) benefits, paid Company holidays, participation in the Company’s equity and 401k retirement plan, competitive employee health, dental, and vision benefits each subject to the terms and conditions of the governing plan documents and Company policies.
